During the period when a prospectus relating to any of the Securities is required to be delivered under the 1933 Act by you or any dealer, the Company will not file any amendment or supplement to the Registration Statement, the Prospectus (or any other prospectus relating to the Securities filed pursuant to Rule 424(b) under the 1933 Act that differs from the Prospectus as filed pursuant to such Rule 424(b)) or any Incorporated Document to which you or Underwriter’s Counsel shall reasonably object.
