Filing Fees, Excise Taxes, Etc. The Company agrees to pay or to ---------------------------------- reimburse the Trustee for any and all payments made by the Trustee in respect of all search, filing, recording and registration fees, taxes, excise taxes and other similar imposts which may be payable or determined to be payable in respect of the execution and delivery of this Trust Agreement and each Trust Security Document. The obligations of the Company under this subsection 4.5 shall survive the termination of the other provisions of this Trust Agreement and the resignation or removal of the Trustee hereunder.
