Common use of Filing and Enforceability of Contracts Clause in Contracts

Filing and Enforceability of Contracts. There are no contracts or documents of a character required to be described in the Buyer SEC Reports that have not been so described or filed (the “Buyer SEC Contracts”). All Buyer SEC Contracts executed and delivered on or before the date hereof to which the Buyer or any subsidiary of the Buyer is a party have been duly authorized, execution and delivery thereof by the Buyer or such subsidiary and, assuming due authorization, execution and delivery thereof by the other parties thereto, constitute valid and binding agreements of the other parties thereto, enforceable against such parties in accordance with the terms thereof, subject to the Enforceability Limitations.
