Common use of Filing Agent, etc Clause in Contracts

Filing Agent, etc. All Uniform Commercial Code financing statements or other similar financing statements required pursuant to the Loan Documents (collectively, the "Filing Statements") shall have been delivered to CT Corporation System or another similar filing service company acceptable to the Arrangers (the "Filing Agent"). The Filing Agent shall have acknowledged in a writing satisfactory to the Arrangers and their counsel (i) the Filing Agent's receipt of all Filing Statements, (ii) that the Filing Statements have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Closing Date and (iii) that the Filing Agent will notify the Arrangers and their counsel of the results of such submissions within 30 days following the Closing Date.

The Filing Agent shall have acknowledged in a writing satisfactory to the Arrangers Administrative Agent and their its counsel (i) the Filing Agent's receipt of all Filing Statements, (ii) that the Filing Statements have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Closing Date and (iii) that the Filing Agent will notify the Arrangers Administrative Agent and their its counsel of the results of such submissions within 30 days following the Closing Date.

The Filing Agent shall have acknowledged in a writing manner reasonably satisfactory to the Arrangers and their Administrative Agent or its counsel (i) the Filing Agent's receipt of all Filing Statements, (ii) that the Filing Statements have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Closing Date and (iii) that the Filing Agent will notify the Arrangers Administrative Agent and their its counsel of the results of such submissions within 30 days following the Closing Date.
