File Tax Returns Sample Clauses

File Tax Returns. Buyer shall prepare or cause to be prepared and file or cause to be filed all Tax Returns for the Company that are filed on or after the Closing Date. With respect to Tax Returns (other than Tax Returns filed on a monthly basis including valued added Tax Returns and employment Tax Returns) that are filed after the Closing Date but relate to periods before the Closing Date, Buyer shall provide Oronite and the Local Sellers’ Representative a period of at least 30 days to review and comment on each such Tax Return prior to filing and Buyer shall make such revisions to such Tax Returns as are reasonably requested by Oronite or the Local Sellers’ Representative; and Buyer shall provide Oronite and the Local Sellers’ Representative with copies of these Tax Returns promptly after filing.
