FERC Approval. Notwithstanding any other provision of this Appendix 2, no termination hereunder shall become effective until the Interconnected Entities and/or Transmission Provider have complied with all Applicable Laws and Regulations applicable to such termination, including the filing with the FERC of a notice of termination of the Interconnection Service Agreement, and acceptance of such notice for filing by the FERC.
FERC Approval. Approval of the Merger by FERC under the FPA shall have been received.
FERC Approval. KCPL shall be reasonably satisfied that any Final Order issued by FERC with respect to the KCPL Required Statutory Approvals and the Western Resources Required Statutory Approvals shall not impose terms or conditions which, individually or in the aggregate, would have, or insofar as reasonably can be foreseen, are likely to have a material adverse effect on the business, assets, financial condition or results of operations of the Surviving Corporation.
FERC Approval. Western Resources shall be reasonably satisfied that any Final Order issued by FERC with respect to the KCPL Required Statutory Approvals and the Western Resources Required Statutory Approvals shall not impose terms or conditions which, individually or in the aggregate, would have, or insofar as reasonably can be foreseen, are likely to have a material adverse effect on the business, assets, financial condition or results of operations of the Surviving Corporation or a material adverse effect on the benefits anticipated by Western Resources as a result of the consummation of the transactions contemplated by this Agreement.
FERC Approval. Upon the occurrence and continuation of an Event of Default, if the Administrative Agent has accelerated the Obligations of the Borrower pursuant to Section 11.3 hereof, each of CSSW Parent and the Borrower will, and will cause each of the Borrower’s Subsidiaries to, cooperate with the Lenders as may be reasonably necessary for the Collateral Agent to obtain any approvals or authorizations from the FERC as may be required for the Collateral Agent, at the written direction of the Majority Lenders, to foreclose on the Collateral.
FERC Approval. No termination hereunder shall become effective until the terminating Party (or the Parties jointly) tender(s) to FERC any required notification of termination of this Agreement (if any) and obtain(s) such acceptance thereof by FERC as may be required (if at all).
FERC Approval. No event has occurred that would reasonably be expected to impair the ability of Cheniere Creole Trail Pipeline, L.P. to obtain any necessary approvals of FERC with respect to the construction of the Pipeline Improvements.
FERC Approval. No termination of this Agreement shall be effective until approved by FERC.
FERC Approval. To the extent that any determination under this section involves terminating an activity required by the New License, or initiating an activity not authorized by the New License, including any subsequent annual licenses, Chelan PUD shall apply to the FERC for a license amendment. Any action necessitating a license amendment shall not be undertaken unless and until such license amendment is issued.
FERC Approval. Bonneville has filed with FERC certain Tariff revisions regarding the Network Open Season, including a form of PTSA that includes substantially the same terms and conditions as this Agreement. If FERC issues a final order rejecting all or any part of the Tariff revisions, or adding any conditions to the Tariff or to the form of this Agreement that are material to the Network Open Season or to this Agreement and that are unacceptable to either Party, within 30 days of issuance of FERC’s final order, such Party will have the right to terminate this Agreement upon 30 days’ written notice specifying the reasons for termination. Such termination shall be pursuant to section 1(b).
