Fees Generally. All fees payable hereunder shall be paid on the dates due, in U.S. Dollars, in immediately available funds, to the Administrative Agent (or to an Issuing Bank, in the case of fees payable to it) for distribution, in the case of Commitment Fees and participation fees, to the Lenders. Fees paid shall not be refundable under any circumstances.
Fees Generally. All fees shall be paid on the dates due, in immediately available funds, to the Administrative Agent for distribution, if and as appropriate, among the applicable Lenders, except that the Borrower shall pay the fronting fees directly to the applicable L/C Issuer. Once paid when due and payable, none of the fees shall be refundable under any circumstances.
Fees Generally. In accordance with the payment terms described in Sections 3.2 and 3.3 below, RECEIVING PARTY agrees to timely pay PROVIDING PARTY, as compensation for the Corporate Services provided hereunder, all fees as contemplated in Section 1.1 (the “Corporate Service Fees”) and in Section 2.3 (the “Transition Assistance Fees”).
Fees Generally. All fees payable hereunder shall be in all respects fully earned, due and payable on the Amendment No. 1 Effective Date and non-refundable and non-creditable thereafter.
Fees Generally. In consideration of the provision of the Services by VCG and the rights granted to Service Recipient under this Agreement, Service Recipient shall pay the fees set forth in the applicable Statement of Work.
Fees Generally. (a) All expenses incident to the Company's performance of or compliance with this Article IV, including without limitation internal expenses (including without limitation all salaries and expenses of its officers and employees performing legal or accounting duties), the expense of any annual audit or quarterly review, the expense of any liability insurance, the expenses and fees for listing securities on one or more securities exchanges, all registration and filing fees, fees and expenses of compliance with securities or blue sky laws (including reasonable fees and disbursements of counsel in connection with blue sky qualifications of the Registrable Securities), printing expenses, messenger and delivery expenses, and fees and disbursements of counsel for the Company and all independent certified public accountants, underwriters (excluding underwriting fees, discounts and commissions) and other Persons retained by the Company (all such expenses being herein called "Registration Expenses") shall be borne by the Company, except that each Holder shall pay any underwriting fees, discounts or commissions attributable to the sale of its Registrable Securities (all such expenses being herein called "Selling Expenses").
Fees Generally. In consideration of the Service or Item provided to Buyer by Supplier under this Agreement, Supplier shall be entitled to payment by Buyer of the mutually agreed-upon Fees set forth in the applicable SOW for the respective Service or Item, pursuant to the terms of this FEES section (Section 5.1 et seq.). Except as expressly set forth in this Agreement, under no circumstances shall Buyer have any obligation to pay Supplier, or shall Supplier be entitled to recover from Buyer, any amount greater than the applicable Fees for the provision of any Service or Item under this Agreement.

Fees Generally. Customer will pay TOMIA the prices specified in the Order Form thirty (30) days from the date of the invoice once the payments have become due, unless otherwise agreed in the Order Form. Customer acknowledges that recurring charges will be invoiced annually in advance commencing upon signature of the applicable Order Form, regardless of issuance of an purchase order by Customer. Recurring fees for the Services are due whether or not Customer uses all the SaaS Metrics in the Payment Period. Unless specifically agreed in writing by TOMIA, Customer may not decrease the SaaS Metrics during the Initial or a Renewal Term. Usage in excess of the SaaS Metrics authorized under the Order Form are subject to TOMIA’s then-applicable rates for such usage parameters and shall be invoiced immediately.
Fees Generally. Once paid pursuant to this Article 5 or the Agent Fee Letter, none of the fees payable to the Agent pursuant to the terms of the Agent Fee Letter shall be refundable under any circumstances.
