Federated Clause Samples
Federated. Neither of Federated nor its Affiliates have employed any broker, financial adviser or finder, or incurred any Liability for any broker, financial advisory or finders’ fees, in connection with this Agreement, any other Transaction Document or the Transactions, nor has any broker or finder acted directly or indirectly for Federated or any of its Affiliates in connection with this Agreement, any other Transaction Document or the Transactions.
Federated. Notwithstanding that Federated is a "Stockholder" for the purposes of being subject to this Agreement, Federated shall not be deemed to hold or own any shares of Common Stock subject to the Federated Option until Federated has exercised the Federated Option in respect of such shares of Common Stock in accordance with the terms of the Federated Option, including without limitation, paying the Option Price for such shares of Common Stock.
