Common use of FCC FINAL ORDER Clause in Contracts

FCC FINAL ORDER. Each of (i) the FCC order consenting to the assignment of the FCC Authorization from Seller to Purchaser and (ii) the FCC order granting the FCC Authorization to Seller in the Risk Sharing Proceeding shall have become a Final Order, in each instance without any conditions which the Purchaser shall have determined, in its sole discretion, to be materially adverse to its ability to operate a cellular system in the RSA.
