In entering into this Agreement the parties agree that it is impracticable to make provisions for every contingency that may arise during the term of this Agreement and it is their mutual intention that this Agreement shall operate between them with fairness and without prejudice to the interest of the other, and that if in the course of the performance of this Agreement unfairness or prejudice or obvious hardship to any party is expected or disclosed then the parties will use all reasonable endeavors to agree upon such action as may be necessary to remove or modify such unfairness or prejudice.
