FAILURE TO MEET COMMITMENTS. In the event Distributor fails to meet the applicable minimum purchase commitment set forth in Section 6.2 by the end of any Contract Year, OSUR shall have the right to convert the distribution rights granted to Distributor hereunder to nonexclusive rights, pursuant to Section 11.2.3. If Distributor fails to purchase at least 150,000 Units of Product in any Contract Year, OSUR shall have the right to terminate this Agreement, pursuant to Section 11.2.3.
