The FACILITY clause defines the specific physical or virtual resources, such as buildings, equipment, or systems, that are made available for use under the agreement. FACILTY. INVO will ship to DISTRIBUTOR’s preferred facility to hold inventory for direct distribution in the Territory by DISTRIBUTOR. INVO will invoice DISTRIBUTOR for the shipment costs. People’s Republic of China, excluding Hong Kong, Macau and Taiwan. As a requisite to retain exclusivity in the Territory, the following milestones, based on a review of the Territory and its market potential, must be adhered too by DISTRIBUTOR.
FACILTY. 2.1 The Facility shall be available for drawdown by the Borrower for a period of 6 months from the Effective Date (the “Availability Period”). Any portion of the Facility not drawn by the end of the Availability Period shall be cancelled.
