External Event Sample Clauses

The External Event clause defines circumstances where events outside the control of the parties—such as natural disasters, government actions, or other unforeseeable incidents—may impact the performance of contractual obligations. Typically, this clause outlines what qualifies as an external event, the notification requirements, and the consequences for either party, such as suspension of duties or extensions of deadlines. Its core function is to allocate risk and provide a clear process for handling disruptions caused by extraordinary events, ensuring that neither party is unfairly penalized for circumstances beyond their control.
