External Actions Clause Samples

The External Actions clause defines how actions or events outside the direct control of the contracting parties are addressed within the agreement. Typically, this clause outlines the responsibilities and procedures if a third party, government authority, or other external entity takes an action that impacts the contract, such as regulatory changes or legal orders. Its core function is to allocate risk and clarify the parties' obligations in situations where external factors intervene, ensuring that both sides understand how such events will be managed and reducing uncertainty in the contractual relationship.
External Actions. In the interest of attempting to resolve outstanding issues that may be filed under this article or would be otherwise appealed to an external administrative agency (i.e., SERB, EEOC, or OCRC), the Employer, employee, and their representatives shall meet in an effort to resolve the alleged violation prior to the appeal to any outside agency. In the event that a grievance is filed over a matter alleging a violation of Section 2 and at the same time a corresponding action or legal action is filed with SERB, such grievance may be held in abeyance until the disposition of the external action.
External Actions. Where there is an alleged violation of the provisions of this Article that qualifies for appeal under the rules of the Equal Employment Opportunity Commission of the Ohio Civil Rights Commission, such matter may be appealable through the grievance procedure contained in this Agreement. The Employer, employee, and their representatives, however, shall meet in an effort to resolve the alleged violation prior to the appeal to any outside agency.
External Actions. In the event that a grievance is filed over a matter alleging a violation of this Article and at the same time a corresponding administrative action or legal action (e.g., OCRC or EEOC, etc.) is filed, such grievance shall be held in abeyance until the disposition of the external action after which the grievance will be reactivated and processed.
