Expenses Related to Business Combination. The Company further agrees that, in the event the Representative assists the Company in connection with the consummation of a proposed Business Combination, the Company agrees to reimburse the Representative for all reasonable out of pocket expenses, including, but not limited to, “road show” and due diligence expenses as approved in writing by the Company.
