Exit provision. 31.1. In the event of an Exit on bona fide arm’s length terms approved by the Board acting with Combined Shareholder Consent (“Proposed Exit”), all Shareholders shall consent to, vote for, raise no objections to and waive any applicable rights in connection with the Proposed Exit. The Shareholders shall be required to take all lawful actions with respect to the Proposed Exit as are reasonably required by the Board to facilitate the Proposed Exit. If any Shareholder fails to comply with the provisions of this Article 31.1:
Exit provision. It is agreed by all participating Councils that the decision of the sub- committee comprising the Chairperson of the Committee and two delegates, the Executive Officer and the Regional Librarian following advice being received from the NSW State Library, shall be final and binding in respect of the method of valuation and assessment of the net assets and liabilities of the Library Co-Operative at any time and of the books and/or other assets or cash to be apportioned or paid to a Council upon termination, withdrawal or expulsion pursuant to this Agreement and all participating Councils agree that there shall not be a right of appeal in respect of any such decision.
Exit provision. 7.1 The Contractor undertakes to the Authority (for the benefit of the Authority itself and for the Authority as agent and trustee for the benefit of the Eligible Employees) that on:
7.1.1 the expiry or termination of this Contract; or
7.1.2 the expiry or termination of any Sub-Contract in the case of a relevant Sub- Contractor; or
7.1.3 the employment of any Eligible Employee transferring to a New Employer in accordance with clause 28A.12 of this Contract (or otherwise), the Contractor shall (and shall procure that each relevant Sub-Contractor shall) procure that the trustees of the Contractor's Scheme offer bulk transfer terms in respect of the relevant Eligible Employee's service in the Contractor's Scheme to the pension scheme of the Authority, any Future Service Provider (or their sub-contractors), any new Sub-Contractor or any New Employer (as applicable) which are sufficient at least to match the value generated by replicating the terms of the Actuary's letter (in the opinion of the Administering Authority's Actuary or an actuary appointed by the Authority).
7.2 If the transfer payment paid by the trustees of the Contractor's Scheme is less (in the opinion of the Administering Authority's Actuary or an actuary appointed by the Authority) than the transfer payment which would have been paid had paragraph 7.1 of this Schedule been complied with, the Contractor shall (and/or shall procure that each relevant Sub-Contractor shall) pay to the Authority, any Future Service Provider (or their sub-contractor), any new Sub-Contractor or any New Employer (as appropriate) (or as such person shall direct) the amount of the difference.
