Existing Partners. All the Persons who are Partners as of the date of this Agreement shall continue as Partners and have executed a counterpart of this Agreement (either individually or by attorney or agent) and thereby agree to be bound by the terms hereof as a Partner.

Existing Partners. To the knowledge of Purchaser, the only partners of the Partnership as of the Effective Date are Seller and C-H Associates; and as of the Closing Date, and subject to the satisfaction of the condition set forth in Section 7.1(i), Purchaser or its affiliates will own one hundred percent (100%) of the ownership interests in C-H Associates. The representations and warranties made in this Agreement by Purchaser shall be continuing and shall be deemed remade by Purchaser as of the Closing Date, with the same force and effect as if made on, and as of, such date subject to Purchaser’s right to update such representations and warranties by written notice to Seller and in Purchaser’s Certificate to be delivered pursuant to Section 6.2(c) hereof.
