Common use of Existing Indebtedness and Capital Structure Clause in Contracts

Existing Indebtedness and Capital Structure. On the Initial Borrowing Date and after giving effect to the Transaction and the other transactions contemplated hereby, Company shall not have any Indebtedness or preferred Capital Stock outstanding except for the Loans, Indebtedness under the Term Loan Credit Facility, Indebtedness permitted pursuant to Section 8.2(m) and the Indebtedness to Remain Outstanding. The aggregate principal amount of the Indebtedness to Remain Outstanding shall not exceed $3,000,000, shall not have been incurred in connection with or in contemplation of the Transaction and shall be on terms and conditions satisfactory to Administrative Agent;
