Common use of Existing Facility Clause in Contracts

Existing Facility. The Existing Facility (except for the Existing Letters of Credit) shall be repaid in full and terminated and all collateral security therefor shall be released, and the Administrative Agent shall have received a pay-off letter in form and substance satisfactory to it evidencing such repayment, termination, reconveyance and release. On the Closing Date, the Existing Letters of Credit shall be deemed to be Letters of Credit issued under this Agreement.
