Existing Defaults. Except as previously disclosed in writing, Borrower is not in default under any Contractual Obligation, the effect of which would be a Material Adverse Effect on Borrower. Except as previously disclosed in writing, Borrower is not in violation of any law, ordinance, rule or regulation to which it or any of its Assets is subject, the failure to comply with which would have a Material Adverse Effect on Borrower.
