Common use of Existence; Properties Clause in Contracts

Existence; Properties. Borrowers will (a) do or cause to be done all things necessary to preserve and keep in full force and effect its existence, rights and franchises and comply with all laws applicable to it; (b) maintain, preserve and protect all franchises, licenses and trade names and preserve all the remainder of its property used or useful in the conduct of its business; and (c) maintain in effect insurance with responsible and reputable insurance companies or associations in such amounts and covering such risks as shall be consistent with prudent business practices in the industry and reasonably acceptable to Agent and furnish to Agent from time to time, upon their request therefor, evidence of same.

Borrowers will will, consistent with Borrowers’ normal course of business (a) do or cause to be done all things reasonably necessary to preserve and keep in full force and effect its existence, existence and all material rights and franchises and comply with all laws applicable to itfranchises; (b) maintain, preserve and protect all material franchises, licenses and trade names and preserve all the remainder of its material property used or useful in the conduct of its business; and (c) maintain in effect insurance with responsible and reputable insurance companies or associations in such amounts and covering such risks as shall be consistent with prudent business practices determined by Borrowers in the industry and reasonably acceptable to Agent their reasonable discretion and furnish to Agent from time to time, upon their request therefor, evidence of same.
