Maintain its corporate existence; keep proper books of account and record; maintain its qualification to carry on business in all jurisdictions where it carries on business and where the absence of such qualification would have a Material Adverse Effect; and operate its business and Property in accordance with sound business practice and in substantial compliance with Applicable Law (including Environmental Law) and all Material Contracts.
