Exercise Rate Clause Samples

The Exercise Rate clause defines the specific price or rate at which an option holder can purchase or sell the underlying asset when exercising their option. In practice, this clause sets the financial terms for the transaction, such as the fixed price per share in a stock option agreement or the agreed-upon rate in a currency option. By clearly establishing the exercise rate, this clause ensures both parties understand the cost or benefit of exercising the option, thereby reducing ambiguity and potential disputes over the terms of execution.
Exercise Rate. The number of Shares issuable upon exercise of any Exercise Amount pursuant to Section 1.1 (the “Exercise Rate”) shall be determined by dividing (x) the Exercise Amount by (y) the Warrant Exercise Price.
