Common use of Exercise of Voting Rights Clause in Contracts

Exercise of Voting Rights. (a) Each Creditor agrees with the Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group insofar as such proceedings relate to the Transaction Security (or any enforcement or realisation thereof) as instructed by the Security Agent.

Exercise of Voting Rights. (a) Each Creditor other than the Notes Trustee agrees (to the fullest extent permitted by law at the relevant time) with the Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group insofar as such proceedings relate to the Transaction Security (or any enforcement or realisation thereof) as instructed by the Security Agent.

Exercise of Voting Rights. (a) Each Creditor (other than the Senior Secured Notes Trustee, the RCF Agent and the Pari Passu Debt Representative) and Subordinated Creditor agrees with the Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group insofar as such proceedings relate to the Transaction Security (or any enforcement or realisation thereof) as instructed by the Security Agent.

Exercise of Voting Rights. (a) Each Creditor other than the Bond Trustee agrees with the Security Agent that it will, or will procure that its Agent on its behalf will, cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group insofar as such proceedings relate to the Transaction Security (or any enforcement or realisation thereof) as instructed by the Security AgentAgent but only where such vote relates to the enforcement of Transaction Security in accordance with the Security Enforcement Principles.

(a) Each Creditor agrees with the Security Agent Trustee that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group insofar as such proceedings relate to the Transaction Security (or any enforcement or realisation thereof) Obligor as instructed by the Security AgentTrustee.

Exercise of Voting Rights. (a) Each Creditor agrees with the Security Agent that it will to cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation Bankruptcy Event or similar proceedings relating to any member of the Group insofar Member solely as such proceedings relate to the Transaction Security (or any enforcement or realisation thereof) as instructed directed by the Security Agent.

Exercise of Voting Rights. (a) Each Creditor of the Creditors (other than the Senior Agent and the Senior Arranger) agrees with the Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group insofar as such proceedings relate to the Transaction Security (Member or any enforcement or realisation thereof) Debtor as instructed by the Security AgentAgent (in the case of a Subordinated Creditor, only to the extent that such vote or proposal relates to any matter contemplated by Clause 7.7 (Permitted Enforcement: Subordinated Creditors)).
