Common use of Executive’s Outside Roles Clause in Contracts

Executive’s Outside Roles. (a) Executive consulting projects or Board roles outside of the Company. The Executive may, from time to time, have projects and work for other businesses through consulting projects outside of the Company, and the Executive may sit on Boards of outside companies both private or public which are in any industry or the industry in which the Company does business, provided that, in either case, neither such outside activities for other businesses may materially interfere with Executive’s duties to Company hereunder or directly compete with the Company. The Executive shall notify the Company of any outside business activities and obtain prior written consent of the Board which consent shall not be unreasonable be withheld to engage in such activities during the term of the Agreement.
