Common use of Executive’s Cooperation Clause in Contracts

Executive’s Cooperation. During the Employment Period and for a period of two years thereafter, Executive shall cooperate with the Company and its Affiliates in any internal investigation, any administrative, regulatory or judicial investigation or proceeding or any dispute with a third party as reasonably requested by the Company (including, without limitation, Executive being available to the Company upon reasonable notice for interviews and factual investigations, appearing at the Company’s request to give testimony without requiring service of a subpoena or other legal process, volunteering to the Company all pertinent information and turning over to the Company all relevant documents which are or may come into Executive’s possession, all at times and on schedules that are reasonably consistent with Executive’s other permitted activities and commitments). In the event the Company requires Executive’s cooperation in accordance with this Section, the Company shall reimburse Executive solely for reasonable travel expenses (including lodging and meals) upon submission of receipts.

In the event the Company requires Executive’s cooperation in accordance with this Sectionparagraph after the Employment Period, the Company shall reimburse Executive solely for reasonable travel expenses (including lodging and meals) upon submission of receipts.

During Executive’s employment with the Employment Period Company or its Affiliates and for a period of two years thereafterfollowing any Separation, Executive shall cooperate with the Company and its Affiliates in any disputes with third parties, internal investigation, any or administrative, regulatory regulatory, or judicial investigation or proceeding or any dispute with a third party as reasonably requested by the Company or its Affiliates (including, without limitation, including Executive being available to the Company upon reasonable notice for interviews and factual investigations, appearing at the Company’s request to give testimony without requiring service of a subpoena or other legal process, volunteering to the Company all pertinent information and turning over to the Company all relevant documents which that are or may come into Executive’s possession, all at times and on schedules that are reasonably consistent with Executive’s other permitted activities and commitments). In the event If the Company requires Executive’s cooperation in accordance with this SectionSection 12(d) after a Separation, the Company shall reimburse Executive solely for reasonable devotion of time and travel expenses (including lodging and meals) , upon submission of receipts).

Executive’s Cooperation. During the Employment Period and for a period of two years thereafter, Executive shall cooperate with the Company and its Subsidiaries and Affiliates in any internal investigation, any administrative, regulatory or judicial investigation or proceeding or any dispute with a third party as reasonably requested by the Company (including, without limitation, Executive being available to the Company upon reasonable notice for interviews and factual investigations, appearing at the Company’s request to give testimony without requiring service of a subpoena or other legal process, volunteering to the Company all pertinent information and turning over to the Company all relevant documents which are or may come into Executive’s possession, all at times and on schedules that are reasonably consistent with Executive’s other permitted activities and commitments). In the event the Company requires Executive’s cooperation in accordance with this SectionParagraph 24, the Company shall reimburse Executive solely for reasonable travel expenses (including lodging and meals) upon submission of receipts.

During the Employment Period and for a period of two years thereafter, Executive shall use his reasonable efforts to cooperate with the Company and its Affiliates Subsidiaries in any internal investigation, any administrative, regulatory or judicial investigation or proceeding or any dispute with a third party as reasonably requested by the Company (including, without limitation, Executive being available to the Company upon reasonable notice for interviews and factual investigations, appearing at the Company’s 's request to give testimony without requiring service of a subpoena or other legal process, volunteering to the Company all pertinent information and turning over to the Company all relevant documents which are or may come into Executive’s 's possession, all at times and on schedules that are reasonably consistent with Executive’s 's other permitted activities and commitments). In the event the Company requires Executive’s 's cooperation in accordance with this Sectionparagraph, the Company shall reimburse Executive solely for reasonable travel expenses (including lodging and meals) upon submission of receipts.. * * * * *
