Common use of Execution of Warrant Certificates Clause in Contracts

Execution of Warrant Certificates. The Warrant Certificates shall be executed on behalf of the Company by an officer of the Company authorized by the Board of Directors. In case the officer of the Company who shall have signed any Warrant Certificate shall cease to be such an officer of the Company before issuance and delivery by the Company of such Warrant Certificate, such Warrant Certificate nevertheless may be issued and delivered with the same force and effect as though the individual who signed such Warrant Certificate had not ceased to be such an officer of the Company, and any Warrant Certificate may be signed on behalf of the Company by any individual who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such individual was not such an officer.

In case the officer of the Company who shall have signed any Warrant Certificate shall cease to be such an officer of the Company before issuance and delivery by the Company of such Warrant Certificate, such Warrant Certificate nevertheless may be issued and delivered with the same force and effect as though the individual who signed such Warrant Certificate had not ceased to be such an officer of the Company, and any Warrant Certificate may be signed on behalf of the Company by any individual who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such individual was not such an officer.

Execution of Warrant Certificates. The Warrant Certificates shall be executed on behalf of the Company MSC by an officer of the Company MSC authorized by the Board of Directors. In case the officer of the Company MSC who shall have signed any Warrant Certificate shall cease to be such an officer of the Company MSC before issuance and delivery by the Company MSC of such Warrant Certificate, such Warrant Certificate nevertheless may be issued and delivered with the same force and effect as though the individual who signed such Warrant Certificate had not ceased to be such an officer of the CompanyMSC, and any Warrant Certificate may be signed on behalf of the Company MSC by any individual who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company MSC to sign such Warrant Certificate, although at the date of the execution of this Agreement any such individual was not such an officer.
