Such signatures Warrant Certificates may be in the manual or form of a facsimile signatures signature of the present or any future such officers. Typographical President, Chief Executive Officer or Chief Financial Officer and other minor errors may be imprinted or defects in any such reproduction otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any such signature person who shall not affect have been President, Chief Executive Officer or Chief Financial Officer, notwithstanding the validity or enforceability of any fact that at the time the Warrant Certificate that has been duly Certificates shall be countersigned and delivered by the Warrant Agentor disposed of he or she shall have ceased to hold such office. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificate Certificates so signed shall be countersigned and have been delivered by the Warrant Agent or disposed of by the Company, such Warrant Certificate Certificates nevertheless may be countersigned and delivered or disposed of as though the such person who signed such Warrant Certificate had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by such persons asany person who, at the actual date of the execution of such Warrant Certificate, shall be the a proper officers officer of the CompanyCompany to sign such Warrant Certificate, although at the date of the execution and delivery of this Warrant Agreement any such person was not such an officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Execution of Warrant Certificates. The Warrant Certificates shall be executed --------------------------------- signed on behalf of the Company by the chairman of its Board of Directorschief executive officer, its president, any vice-president or any vice president and attested by its secretary or assistant secretarychief financial officer (each an "Officer").
