Common use of Execution of Subscription Agreement Clause in Contracts

Execution of Subscription Agreement. 20.1 The Issuer and the Escrow Agent will be entitled to rely on delivery by email or other means of electronic communication capable of producing a printed copy of an executed copy of this Agreement, and acceptance by the Issuer of such email or other form of electronic copy will be equally effective to create a valid and binding agreement between the Subscriber and the Issuer in accordance with the terms hereof. If less than a complete copy of this Agreement is delivered to the Issuer or the Escrow Agent prior to or at the Closing, the Issuer and the Escrow Agent are entitled to assume that the Subscriber accepts and agrees to all of the terms and conditions of the pages not delivered prior to or at the Closing (without any alterations to such page).

If less than a complete copy of this Agreement is delivered to the Issuer or the Escrow Agent prior to or at the Closing, the Issuer and the Escrow Agent Issuer’s Counsel are entitled to assume that the Subscriber accepts and agrees to all of the terms and conditions of the pages not delivered prior to or at the Closing (without any alterations to such page)unaltered.
