Common use of Execution of Certificates Clause in Contracts

Execution of Certificates. The Trustee acknowledges (i) the assignment to it of Mortgage Loans in trust for the benefit of the Certificateholders and the Certificate Insurer, as their interests may appear, and subject to the terms and conditions of this Agreement and (ii) the delivery of the Mortgage Files as set forth above and, concurrently with such delivery, in exchange for the Mortgage Loans, the Mortgage Files and the other assets conveyed by the Depositors pursuant to SECTION 2.01 AND SECTION 2.04, the Trustee has executed and caused to be authenticated and delivered to or upon the order of the Depositors, the Certificates, each in Authorized Denominations.
