Common use of Execution of Certificates Clause in Contracts

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the Mortgage Loan Purchase Agreements to the extent set forth herein and, concurrently with such assignment, has, at the direction of the Depositor, executed and caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, Certificates in authorized denominations evidencing beneficial ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of the Trustee's Mortgage Loan Purchase Agreements Files to the extent set forth herein it and, concurrently with such assignmentdelivery, has, at the direction of the Depositor, has executed and caused the Certificate Registrar to authenticate be authenticated and deliver delivered to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included in the definition of the Trust Fund, Certificates in authorized denominations Authorized Denominations evidencing beneficial the entire ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of the Trustee's Mortgage Loan Purchase Agreements Files relating thereto to the extent set forth herein it and, concurrently with such assignmentdelivery, hashas executed, at the direction of the Depositor, executed authenticated and caused the Certificate Registrar to authenticate and deliver delivered to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included in the definition of Trust Fund, the Certificates duly authenticated by the Trustee in authorized denominations Authorized Denominations evidencing beneficial the entire ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans Loans, the Loan Sale Agreement, the Custodial Agreement and the Mortgage Loan Purchase Agreements Crown Participation Agreement to the extent set forth herein and, concurrently with such assignment, has, at the direction of the Depositor, has executed and caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, Certificates in authorized denominations evidencing beneficial ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the Mortgage Loan Purchase Agreements Sale Agreement to the extent set forth herein and, concurrently with such assignment, has, at the direction of the Depositor, executed and caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, Certificates in authorized denominations evidencing beneficial ownership of the entire Trust Fund.

The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of the Mortgage Loan Purchase Agreements Files relating thereto to the extent set forth herein Custodian on behalf of the Trustee and, concurrently with such assignmentdelivery, hashas executed, at the direction of the Depositor, executed authenticated and caused the Certificate Registrar to authenticate and deliver delivered to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Mortgage Files and the other assets included in the definition of Trust Fund, Certificates duly authenticated by the Trustee in authorized denominations Authorized Denominations evidencing beneficial the entire ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the Mortgage Loan Purchase Agreements Sale Agreement to the extent set forth herein and, concurrently with such assignment, has, at the direction of the Depositor, has executed and caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, Certificates in authorized denominations evidencing beneficial ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges Trustees acknowledge the sale, conveyance, transfer and absolute assignment to it them of the Mortgage Loans Loan and the Mortgage Loan Purchase Agreements delivery of the documents specified in Section 2.01 to the extent set forth herein them, and, concurrently with such assignmentdelivery, has, at the direction of the Depositor, Trustee has caused to be executed and caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, delivered Certificates in authorized denominations evidencing beneficial ownership of the entire Trust Fund.
