Common use of Execution of Certificates Clause in Contracts

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of the Trustee's Mortgage Files relating thereto to it and, concurrently with such delivery, has executed, authenticated and delivered to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included in the definition of Trust Fund, Certificates duly authenticated by the Trustee in Authorized Denominations evidencing the entire ownership of the Trust Fund.

Execution of Certificates. (a) The Trustee acknowledges the assignment to it the Trust of the Mortgage Loans and the delivery to it (or the Trust Administrator on its behalf) of the Trustee's Mortgage Files relating thereto thereto, subject to it the provisions of Section 2.04 hereof, and, concurrently with such delivery, the Trust Administrator has executed, authenticated and delivered to or upon the order of the Depositor, in exchange for the Mortgage Loanssuch property, the Trustee's Mortgage Files and the other assets included in the definition receipt of Trust Fundwhich is hereby acknowledged, Certificates duly authenticated by the Trustee in Authorized Denominations authorized denominations evidencing the entire ownership of the Trust FundTrust.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of Mortgage Loan Purchase Agreements to the Trustee's Mortgage Files relating thereto to it extent set forth herein and, concurrently with such deliveryassignment, has executedhas, authenticated at the direction of the Depositor, executed and delivered caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included Certificates in the definition of Trust Fund, Certificates duly authenticated by the Trustee in Authorized Denominations authorized denominations evidencing the entire beneficial ownership of the entire Trust Fund.

The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of the Trustee's Mortgage Files relating thereto to it and, concurrently with such delivery, has executed, executed and caused to be authenticated and delivered to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included in the definition of the Trust Fund, Certificates duly authenticated by the Trustee in Authorized Denominations evidencing the entire ownership of the Trust Fund.

The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of Loan Sale Agreement to the Trustee's Mortgage Files relating thereto to it extent set forth herein and, concurrently with such deliveryassignment, has executedhas, authenticated at the direction of the Depositor, executed and delivered caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included Certificates in the definition of Trust Fund, Certificates duly authenticated by the Trustee in Authorized Denominations authorized denominations evidencing the entire beneficial ownership of the entire Trust Fund.

Execution of Certificates. The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of the Trustee's Mortgage Files relating thereto to it the Custodian on behalf of the Trustee and, concurrently with such delivery, has executed, authenticated and delivered to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included in the definition of Trust Fund, Certificates duly authenticated by the Trustee in Authorized Denominations evidencing the entire ownership of the Trust Fund.

The Trustee acknowledges the assignment to it of the Mortgage Loans and the delivery of Loan Sale Agreement to the Trustee's Mortgage Files relating thereto to it extent set forth herein and, concurrently with such deliveryassignment, has executed, authenticated executed and delivered caused the Certificate Registrar to authenticate and deliver to or upon the order of the Depositor, in exchange for the Mortgage Loans, the Trustee's Mortgage Files and the other assets included Certificates in the definition of Trust Fund, Certificates duly authenticated by the Trustee in Authorized Denominations authorized denominations evidencing the entire beneficial ownership of the entire Trust Fund.
