This Agreement has been duly and validly executed and delivered by Purchaser and, assuming due execution and delivery of this Agreement by the Company, constitutes the binding obligation of Purchaser enforceable against Purchaser in accordance with its terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization or similar laws affecting creditors’ rights generally, and by principles of equity.
