Common use of Execution; Delivery; Enforceability Clause in Contracts

Execution; Delivery; Enforceability. This Agreement has been, and the Transaction Documents to which such Seller is a party will be, duly executed and delivered by such Seller and, when duly executed and delivered by the other parties hereto and thereto, will constitute the legal, valid and binding obligations of such Seller, enforceable against such Seller in accordance with their respective terms (subject to applicable bankruptcy, insolvency, reorganization, moratorium or other laws affecting generally the enforcement of creditors’ rights and subject to general principles of equity).
