Execution; Delivery; Binding Effect. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized by the Board of Directors of the Company. The Board of Directors of the Company is not required to submit this Agreement for approval by its stockholders and the stockholders are not required to approve this Agreement. This Agreement is a valid and binding obligation of the Company enforceable against it in accordance with its terms, except as may be limited by applicable bankruptcy and similar laws and general principals of equity.
