Common use of Execution, Authentication and Delivery of Trust Certificates Clause in Contracts

Execution, Authentication and Delivery of Trust Certificates. On the Closing Date, the Owner Trustee shall cause the Trust Certificates in an aggregate principal amount equal to the Initial Class [C] Certificate Balance to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by the Owner Trustee on behalf of the Trust, without further action by the Depositor, in authorized denominations. No Trust Certificate shall entitle its Holder to any benefit under this Agreement or be valid for any purpose unless there shall appear on such Trust Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or [AUTHENTICATING AGENT], as the Owner Trustee's authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Trust Certificate shall have been duly authenticated and delivered hereunder. All Trust Certificates shall be dated the date of their authentication.

Execution, Authentication and Delivery of Trust Certificates. On Concurrently with the Closing Datesale of the Collateral to the Trust pursuant to the Sale and Servicing Agreement, the Owner Trustee shall cause the any Trust Certificates in an aggregate principal amount equal to the Initial Class [C] Certificate Balance issued hereunder to be executed and authenticated on behalf of the Trust, authenticated Trust and delivered to or upon the written order of the Depositor, signed by the Owner Trustee on behalf of the Trust, without further corporate action by the Depositor, in authorized denominations. No Trust Certificate shall entitle its Holder to any benefit benefits under this Agreement or be valid for any purpose unless there shall appear on such Trust Certificate a certificate of authentication substantially in the form set forth in Exhibit AA hereto, executed by the Owner Trustee or [AUTHENTICATING AGENT]the Administrator, as the Owner Trustee's ’s authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Trust Certificate shall have been duly authenticated and delivered hereunder. All Trust Certificates shall be dated the date of their authentication.

On Concurrently with the Closing Dateinitial transfer of the Mortgage Loans to the Trust pursuant to the Mortgage Loan Contribution Agreement, the Owner Trustee shall cause the Certificates, representing 100% of the Percentage Interests of the Trust Certificates in an aggregate principal amount equal to the Initial Class [C] Certificate Balance Interest, to be executed on behalf of the Trust, authenticated and delivered to or upon the written order Company, as the designee of the Depositor, signed by the Owner Trustee on behalf of the Trust, without further action by the Depositor, in authorized denominations. No Trust Certificate shall entitle its Holder holder to any benefit under this Agreement Agreement, or shall be valid for any purpose purpose, unless there shall appear on such Trust Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or [AUTHENTICATING AGENT], as the Owner Trustee's authenticating agent, by manual or facsimile signature; such authentication shall constitute conclusive evidence that such Trust Certificate shall have been duly authenticated and delivered hereunder. On the first Closing Date, the Owner Trustee shall shall, pursuant to instructions from the Depositor, cause the Trust Certificates in an aggregate principal amount equal to representing 100% of the Initial Class [C] Certificate Balance Percentage Interests of the Trust to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by the Owner Trustee on behalf its chairman of the Trustboard, its president or any vice president, without further corporate action by the Depositor, in authorized denominations. No Trust Certificate shall entitle its Holder holder to any benefit under this Agreement Agreement, or shall be valid for any purpose purpose, unless there shall appear on such Trust Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or [AUTHENTICATING AGENT]the Administrator, as the Owner Trustee's ’s authenticating agent, by manual or facsimile signature; such authentication shall constitute conclusive evidence that such Trust Certificate shall have been duly authenticated and delivered hereunder.
