Execution, Authentication and Delivery of Securities. The Senior Notes will be executed (which signatures may be via facsimile) (a) on behalf of the Company by any one of the President, the Chief Financial Officer, or any Vice President of the Company and attested by the Treasurer, the Secretary, any Assistant Treasurer or any Assistant Secretary of the Company, and (b) on behalf of the Guarantor by the Chairman or any Vice Chairman of the Board of Directors of the Guarantor, the Chief Executive Officer, the President or any Vice President of the Guarantor and attested by the Treasurer, the Secretary, any Assistant Treasurer or any Assistant Secretary of the Guarantor.
