Execution and Delivery of the Other Transaction Documents. The Company shall have executed and delivered at the Closing the Amended Registration Rights Agreement in substantially the form of Exhibit B hereto, the Common Stock Certificates pursuant to Section 3.1(a), the Warrants pursuant to Section 3.1(b), and the Officer’s Certificate referenced in Section 3.1(c) above.
