Common use of Execution and Delivery of Subsidiary Guarantee Clause in Contracts

Execution and Delivery of Subsidiary Guarantee. (a) To evidence its Subsidiary Guarantee set forth in this Supplemental Indenture, each Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee shall be endorsed by an officer of such Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereof.

Execution and Delivery of Subsidiary Guarantee. (a) To evidence its Subsidiary Guarantee set forth in this Supplemental Indenture, each the Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee shall be endorsed by an officer of such Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereof.

Execution and Delivery of Subsidiary Guarantee. (a) To evidence its Subsidiary Guarantee set forth in this Supplemental Indenture, each the Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee substantially in the form of Annex A hereto shall be endorsed by an officer of such Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereof.

Execution and Delivery of Subsidiary Guarantee. (a) To evidence The Subsidiary Guarantee of a Guarantor shall be evidenced by its execution and delivery of a supplement to this Indenture. Each Guarantor hereby agrees that its Subsidiary Guarantee set forth in this Supplemental Indenture, Section 10.01 hereof will remain in full force and effect notwithstanding any failure to endorse on each Subsidiary Guarantor hereby agrees that Note a notation of such Subsidiary Guarantee shall be endorsed by an officer Guarantee. The delivery of such Subsidiary Guarantor on each any Note authenticated and delivered by the Trustee Trustee, after the date hereofauthentication thereof hereunder, will constitute due delivery of the Subsidiary Guarantee set forth in this Indenture on behalf of the Guarantors.

(a) To evidence its Subsidiary Guarantee set forth in this Supplemental IndentureSection 10.01, each Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee shall substantially in the form attached as Exhibit D hereto will be endorsed by manual or facsimile signature by an officer Officer of such Subsidiary Guarantor on each Note Security authenticated and delivered by the Trustee after the date and that this Supplemental Indenture (or a supplemental indenture substantially in form of Exhibit C hereof) will be executed on behalf of such Guarantor by one of its Officers.

(aA) To evidence its Subsidiary Guarantee set forth in this Supplemental Indenture, each Subsidiary the Guarantor hereby agrees that a notation of such Subsidiary Guarantee substantially in the form of Exhibit C to the Indenture shall be endorsed by an officer Officer of such Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereof.

Execution and Delivery of Subsidiary Guarantee. (a) To evidence its each Subsidiary Guarantor's Subsidiary Guarantee set forth in this Supplemental IndentureArticle 11, each Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee shall be endorsed by an officer of such Subsidiary Guarantor placed on each Note authenticated and delivered by the Trustee after the date hereofTrustee.

Execution and Delivery of Subsidiary Guarantee. (a) To evidence its Subsidiary Guarantee set forth in this Supplemental Indenture, each New Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee substantially in the form of Annex A hereto shall be endorsed by an officer of such New Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereof.

Execution and Delivery of Subsidiary Guarantee. (a) To evidence its Subsidiary Guarantee set forth in this Supplemental IndentureSection 10.01, each Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee substantially in the form included in Exhibit E shall be endorsed by an officer Officer of such Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereofand that this Indenture shall be executed on behalf of such Subsidiary Guarantor by its President or one of its Vice Presidents.

(a) To evidence its Subsidiary Guarantee set forth in this Supplemental Indenture, each Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee substantially in the form of Annex A hereto shall be endorsed by an officer of such Subsidiary Guarantor on each Note authenticated and delivered by the Trustee after the date hereof.

(a) To evidence its Subsidiary Guarantee set forth in this Supplemental IndentureSection 13.1, each Subsidiary Guarantor hereby agrees that a notation of such Subsidiary Guarantee shall substantially in the following form will be endorsed by an officer of such Subsidiary Guarantor on each Senior Note authenticated and delivered by the Trustee after the date hereofand that this Indenture will be executed on behalf of such Guarantor by one of its officers.
