Execution Agent Clause Samples

The Execution Agent clause designates a specific party or entity responsible for carrying out certain actions or transactions on behalf of another party under the agreement. Typically, this clause outlines the scope of the agent’s authority, such as executing trades, signing documents, or performing operational tasks, and may specify any limitations or reporting requirements. Its core practical function is to clearly identify who is empowered to act, thereby ensuring accountability and reducing the risk of unauthorized actions or misunderstandings between the parties.
Execution Agent. You may effect my/our Instructions or provide services relating to the Securities and/or the Account in such manner and through any Affiliates, members of any exchange or clearing house, brokers, agents or other intermediaries in the relevant markets (collectively “Agents”) as you may in your absolutely discretion determine. You will usually act as my/our execution agent in relation to my/our Instructions. Neither you nor your Agents shall be liable to me/us for any commission, remuneration profit or other benefit resulting from my/our transactions.
