Exclusive Operator. (a) Owner hereby engages Operator to manage and operate, in the name and for the account of Owner, the Project on an exclusive basis in accordance with this Agreement. Operator shall, as exclusive agent of Owner, which agency is coupled with an interest and may not be terminated by Owner until the expiration or termination of the term of this Agreement, except as otherwise provided herein, have sole authority in respect of and be responsible for the management and operation of the Project, subject to the terms of this Agreement. Such authority of Operator shall include, without limitation, but subject to the terms of this Agreement, the following:
Exclusive Operator. Except as otherwise stated in this Agreement, City grants to BJRY the exclusive right to provide switching and other rail and rail-related services for the operation and marketing of the Line as further set forth in Sections 3 to 6 of this Agreement (collectively “Services”). BJRY shall provide Services hereunder as an independent agent and as a contract carrier, not a common carrier. In the event the City constructs or acquires additional rail line segments connected to the existing Line following the Execution Date hereof, such additional rail line segments shall automatically become a part of the Line, and BJRY shall perform the Services thereon as provided in this Agreement
Exclusive Operator. Town designates LimeBike as the exclusive provider of bike share services within its Town limits. This designation is personal to the LimeBike and may not be assigned or transferred to any party.
Exclusive Operator. City designates LimeBike as the exclusive provider of bike share services within its city limits for a term up to 3 years so long as LimeBike continues to operate in compliance with all federal, state, and City laws. This designation is personal to LimeBike and may not be assigned or transferred to any party.
Exclusive Operator. Town designates Lime as the exclusive provider of bike share services within its Town limits for the term of pilot. This designation is personal to Lime and may not be assigned or transferred to any party.

  • Operators Any and all Operators of the Equipment shall be duly experienced, trained and qualified to operate Equipment of this type. Although We may, from time to time, recommend certain qualified Operators with whom We are familiar, We do not supply Operators. You must supply and employ any Operator who operates the Equipment (even if the Operator is the owner of the Equipment or owner of a company that owns the Equipment) and that Operator shall be deemed to be Your employee and acting under Your supervision or control for all purposes and shall be covered as an insured on all of Your applicable insurance policies.

  • PRODUCER Provide the producer’s name, address (including country), e-mail address, and telephone number, if different from the certifier or exporter or, if there are multiple producers, state “Various” or provide a list of producers. A person who wishes for this information to remain confidential may state “Available upon request by the importing authorities”. The address of a producer shall be the place of production of the good in a Party’s territory.

  • Third Party Vendors Nothing herein shall impose any duty upon DST in connection with or make DST liable for the actions or omissions to act of the following types of unaffiliated third parties: (a) courier and mail services including but not limited to Airborne Services, Federal Express, UPS and the U.S. Mails, (b) telecommunications companies including but not limited to AT&T, Sprint, MCI and other delivery, telecommunications and other such companies not under the party’s reasonable control, and (c) third parties not under the party’s reasonable control or subcontract relationship providing services to the financial industry generally, such as, by way of example and not limitation, the National Securities Clearing Corporation (processing and settlement services), Fund custodian banks (custody and fund accounting services) and administrators (blue sky and Fund administration services), and national database providers such as Choice Point, Acxiom, TransUnion or Lexis/Nexis and any replacements thereof or similar entities, provided, if DST selected such company, DST shall have exercised due care in selecting the same. Such third party vendors shall not be deemed, and are not, subcontractors for purposes of this Agreement.

  • Exclusive Services Executive shall at all times faithfully, industriously and to the best of his or her ability, experience and talent perform to the satisfaction of the Board and the CEO all of the duties that may be assigned to Executive hereunder and shall devote substantially all of his or her productive time and efforts to the performance of such duties. Subject to the terms of the Employee Confidentiality and Invention Assignment Agreement referred to in Section 5(b), this shall not preclude Executive from devoting time to personal and family investments or serving on community and civic boards, or participating in industry associations, provided such activities do not interfere with his or her duties to the Company, as determined in good faith by the CEO. Executive agrees that he or she will not join any boards, other than community and civic boards (which do not interfere with his or her duties to the Company), without the prior approval of the CEO.

  • Franchisee A “franchisee” is a retailer or distributor who is authorized or permitted, under a franchise, to use a trademark in connection with the sale, consignment, or distribution of motor fuel.

  • Supplier A manufacturer, fabricator, distributor, supplier, or vendor of goods or equipment in connection with the Work, or any other party having a Contract or Purchase Order with the Contractor or with a Subcontractor to furnish materials or equipment to be incorporated in the Work by the Contractor or a Subcontractor.
