Exclusive Commitment. Except as provided below, neither First Evergreen nor First Evergreen Bank, nor any of their directors, officers, employees, investment bankers, representatives, or agents, shall take any action inconsistent with the intent to consummate the Merger upon the terms and conditions of this Plan of Merger.
