Exclusive Commitment. Neither Old Kent nor any of Old Kent's subsidiaries, nor any of their directors, officers, employees, investment bankers, representatives, or agents, shall take any action inconsistent with the intent to consummate the Merger upon the terms and conditions of this Plan of Merger. Except as provided below, neither CFSB nor any of CFSB's subsidiaries, nor any of their directors, officers, employees, in- vestment bankers, representatives, or agents, shall take any action incon- sistent with the intent to consummate the Merger upon the terms and condi- tions of this Plan of Merger.
