Excluded Representations. Notwithstanding any other provision of this Agreement, neither MetLife nor RGA (nor any respective MetLife Indemnified Parties or RGA Indemnified Parties) shall have any Action, claim or right against the other in respect of any Losses to the extent arising out of, attributable to or resulting from any breach or inaccuracy of an Excluded Representation, except to the extent that such Losses arise from any Third-Party Claim by a Person (other than the parties to this Agreement) in connection with the offer or sale of any RGA Class A Common Stock or RGA Class B Common Stock in the Recapitalization, the Split-Off or any Additional Divestiture Transaction, including to the extent resulting from the actual or alleged inadequate disclosure in the RGA Disclosure Documents or the MetLife Disclosure Documents.

Excluded Representations. Buyer on behalf of itself and each Buyer Indemnified Person releases Seller, and each person acting or purporting to act on behalf of Seller, from and against any and all liability in respect of any Excluded Representation to the fullest extent permitted by law except for any claims based on fraud, willful misconduct or intentional misrepresentation. Buyer acknowledges that, insofar as the release set out in Section 6.4(a) extends to Persons other than Seller, Seller holds the benefit of the release in trust for those other Persons.

Excluded Representations. It is agreed that no term, condition, warranty or representation of any kind whatsoever (express or implied) is or has been given by or on behalf of the Lessee in respect of the Rig (or any part thereof). All terms, conditions, warranties and representations (express or implied and whether statutory, collateral hereto or otherwise) relating to the Rig, its specification, age, quality, description, seaworthiness, satisfactory quality or as to its fitness for any purpose are hereby expressly excluded.

Excluded Representations. The Purchaser: (a) (waiver): to the fullest extent permitted by Law, waives any possible Claims it may have against each Vendor or any of their respective officers, employees, agents or advisers (including Claims under or in respect of Part V of the Trade Practices ▇▇▇ ▇▇▇▇ or under Part 10 of the Fair Trading Act 1987 (SA), or any other legislation which is to any extent similar to such Part V or Part 10) for any statement or representation made concerning the Shares provided that this waiver will not operate to exclude liability for any fraudulent or dishonest conduct which comprises the whole or part of any such Claims; and (b) (investigation): acknowledges that it has entered into this Agreement after conducting a thorough investigation of the Sale Companies, the Post-Completion Group and the Business and by examining the Disclosure Materials.

Excluded Representations. Each reference in the ------------------------ Credit Agreement and the Exhibits thereto to "(other than the Excluded Representations)" is hereby deleted, and shall cease to be of any further force or effect.
