Common use of Exchange Controls Clause in Contracts

Exchange Controls. No exchange control authorization or any other authorization, approval, consent or license of any governmental or regulatory authority or court in Canada is required for the payment of any amounts payable under the Transaction Documents and, except, in each case, as otherwise disclosed in each of the Registration Statement, the Time of Sale Information and the Prospectus, may be paid in Canadian dollars that may be converted into another currency and freely transferred out of Canada, without the necessity of obtaining any governmental authorization in Canada or any political subdivision or taxing authority thereof or therein.
