Exceptions to System Availability Requirement Clause Samples

The "Exceptions to System Availability Requirement" clause defines specific circumstances under which a service provider is not obligated to meet otherwise agreed-upon system uptime or availability standards. Typically, this clause outlines scenarios such as scheduled maintenance, force majeure events, or third-party failures that are beyond the provider's control, during which downtime will not count against the provider's performance metrics. Its core function is to fairly allocate risk by clarifying when service interruptions are excused, thereby protecting the provider from penalties or liability for outages caused by factors outside their reasonable control.
