The right of first offer in this Section 4.1 shall not be applicable to: (i) Exempted Securities (as defined in the Certificate); (ii) shares of Common Stock issued in the IPO; or (iii) the issuance of shares of Series B Preferred Stock to Additional Purchasers pursuant to the Purchase Agreement.
