Exceptional Services Clause Samples

The Exceptional Services clause defines the terms under which a service provider may be asked to perform work outside the scope of the original agreement. Exceptional Services. 4.8.1 Upon the occurrence of circumstances described in Clause 4.5 or abandonment or suspension or resumption of Services or upon termination of the Agreement otherwise than under the provisions of Clause 4.6.2 any necessary work or expense by the Consultant extra to the Normal and Additional Services shall be regarded as Exceptional Services. 4.8.2 The performance of Exceptional Services shall entitle the Consultant to extra time necessary for their performance and to payment for performing them.
Exceptional Services. Upon resumption of the Services or part thereof following a suspension effected in accordance with this Agreement or upon termination of this Agreement, otherwise than pursuant to Clauses 26.1.3 or 26.2.2, any necessary work undertaken by the Independent Engineer with the prior consent of the Authority and the Concessionaire whose consent shall not be unreasonably withheld, which is extra to the Basic Services and Additional Services shall be regarded as Exceptional Services. The performance of Exceptional Services shall, in the case of resumption of the Services or part thereof following a suspension, entitle the Independent Engineer to extra time for its performance and shall, in any event, entitle the Independent Engineer to payment for its performance in accordance with Clause 29.2.
Exceptional Services. (a) Upon the occurrence and continuance of an event of Force Majeure or an abandonment or suspension or resumption of Services otherwise than in relation to circumstances contemplated under the provisions of paragraph (b) of Sub-Clause 4.6 [Abandonment, Suspension or Termination] or Sub-Clause 4.7 [Corruption and Fraud], any necessary services instructed by the Client to be duly performed by the Consultant pursuant to the Contract shall be regarded as Exceptional Services. (b) The due performance of Exceptional Services will, subject to Sub-Clause 4.3 [Variations], entitle the Consultant to reasonable extra time necessary for their performance and to reasonable payment for performing them in accordance with Sub-Clause 5.2 [Payment to the Consultant]. (c) The rates and prices for any Exceptional Services shall be as for the Additional Services pursuant to Appendix 2 [Price and Payment].

  • Optional Services To the extent that the Fund elects to engage the Transfer Agent to provide the services listed below the Fund shall engage the Transfer Agent to provide such services upon terms and fees to be agreed upon by the parties: (a) Corporate actions (including inter alia, odd lot buy backs, exchanges, mergers, redemptions, subscriptions, capital reorganization, coordination of post-merger services and special meetings).

  • Transitional Services Upon cancellation, termination, or expiration of the Contract for any reason, the Contractor shall provide reasonable cooperation, assistance and Services, and shall assist the Department to facilitate the orderly transition of the work under the Contract to the Department and/or to an alternative contractor selected for the transition upon written notice to the Contractor at least thirty (30) business days prior to termination or cancellation, and subject to the terms and conditions set forth in the Contract.

  • Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇▇/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Transactional Services The Service Provider shall communicate to its Customers, as to shares of the Fund, purchase, redemption and exchange orders reflecting the orders it receives from its Customers or from any brokers and banks for their Customers. The Service Provider shall also communicate to beneficial owners holding through it, and to any brokers or banks for beneficial owners holding through them, as to shares of the Fund, mergers, splits and other reorganization activities, and require any broker or bank to communicate such information to its Customers.

  • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;
