Common use of EXAMINATION OF COMPANY RECORDS Clause in Contracts

EXAMINATION OF COMPANY RECORDS. Each Member or its authorized representative shall have the right, during regular business hours and upon reasonable advance written notice (which shall state the reason therefor), to examine and copy (at the requesting Member's expense), for a proper purpose as determined by the Manager, the records (where such records are maintained) of the Company and otherwise make reasonable inquiry as to the affairs of the Company. A proper purpose shall mean a purpose reasonably related to such Person's interest as a Member. Upon the written request of any Member, the Manager shall provide a list showing the names, addresses and Ownership Percentages of all Members.
