Events Causing Dissolution under the Act. If, pursuant to the ---------------------------------------- Act, any event not specified in Section 9.01 dissolves the LLC (a "Statutory Dissolution Event"), upon the occurrence of any such event, each Member hereby elects to continue the LLC and its business, and notwithstanding the occurrence of a Statutory Dissolution Event, the LLC shall not be dissolved and its business and affairs shall not be discontinued, and the LLC shall remain in existence as a limited liability company under the laws of the State of Delaware.
